These Terms of Service ("Terms") are an agreement between you and Oro Shin ("Oro", "we", "us") and govern your access to and use of Oro AI Agent and its related applications, websites and interfaces (together, the "Service"). Please read them carefully. Where these Terms refer to "you", they mean the person or business using the Service.
1. Acceptance of these Terms
By creating an account, connecting a channel, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business. If you do not agree, do not use the Service.
2. Who may use the Service
You must be at least 18 years old, or the age of majority in your location, and able to enter into a binding contract. The Service is built for business use, and you may only use it to operate channels and accounts that you own or are authorised to manage. You must not use the Service if we have previously suspended or removed your access.
3. Accounts and security
You are responsible for the information you provide when you register and for keeping it accurate. You are responsible for the activity that happens under your account, and for keeping your login credentials secure. Tell us promptly if you believe your account has been accessed without your permission. You may not share your account in a way that lets a third party avoid paying for their own use of the Service.
4. The Service
Oro AI Agent is an autonomous AI agent that helps a business owner run their customer channels. You describe your business and give the agent instructions, and the agent plans and carries out multi-step work on its own: it answers messages and comments, publishes posts, manages product catalogues, verifies payments, and reports back to you.
The agent operates on the connected channels you authorise, acting autonomously on your behalf and on your instruction. It runs inside its own isolated cloud computer — a per-customer Linux sandbox — where it can browse the web, run code, read and write files, transcribe audio, process images and video, and publish websites. Because the agent acts autonomously, you are responsible for the instructions you give it and for reviewing the work it carries out for you.
5. Connected platforms
The Service works by connecting to third-party platforms that you authorise — for example Facebook Messenger, Instagram, WhatsApp, Telegram, LINE, TikTok, YouTube, Google Business Profile, and your own GitHub account. When you connect an account, you confirm that:
- you own the account or are authorised to connect and manage it;
- your use of it through the Service complies with that platform's own terms, policies and community standards;
- you remain responsible for everything published, sent or changed on that account through the Service, including content the agent produces on your behalf.
We only ever use a connected account with the access token that its connection produced. The GitHub connector links to your own GitHub account only; our own GitHub is never involved, and no GitHub credential is ever placed inside the agent's sandbox.
If you are a business user in the EEA or the United Kingdom, then for the personal data of your own end customers that the agent processes on your connected channels, you are the controller and Oro is the processor. The processor commitments we make are set out in our Privacy Policy, and a data processing agreement can be arranged by emailing support@oroaiagent.com.
6. Acceptable use
You agree not to use the Service to:
- break any applicable law or regulation;
- deceive, defraud or mislead people, including impersonation and undisclosed automated outreach where disclosure is required;
- infringe anyone's intellectual property, privacy or other rights;
- harass, threaten, abuse or harm others;
- send spam or unsolicited bulk messages;
- attempt to extract credentials, tokens or secrets, or to break out of, tamper with, or gain unauthorised access to the agent's sandbox or our systems;
- resell, sublicense or redistribute raw model access obtained through the Service.
We may investigate suspected misuse and take action, including removing content or restricting access, as described in the suspension and termination section.
7. Credits and subscriptions
The Service runs on credits. A plan includes a monthly allowance of credits, and the work the agent performs consumes credits as it runs. When your allowance is used up, you can move to a higher plan or wait for your allowance to renew with your billing cycle. Paid subscriptions renew on a recurring basis and, where you subscribe through an app store, are processed through that store's billing.
Current plans, allowances and prices are set out on our pricing page, and refunds are handled in line with our Refund Policy. This section describes only how billing works; the numbers themselves live on the pricing page.
8. Bring Your Own Key
You may choose to bring your own model provider key. When you supply your own key, requests made with it go directly to that provider under your own agreement with them, and Oro credits are not consumed for that usage. You are responsible for your key, for keeping it secure, and for any charges and terms that apply between you and that provider. We are not responsible for costs you incur through your own key.
9. Beta features
Some features are offered in beta. In particular, the Oro 1.0 cognitive-loop tiers — Oro 1.0 Lite, Oro 1.0 Standard and Oro 1.0 Pro — are labelled beta. Beta features are still evolving: they may change, behave unpredictably, or be withdrawn, and they are provided without the commitments that apply to generally available features. Your use of a beta feature is at your own discretion.
10. Intellectual property and your content
The Service — including its software, design, and branding — is owned by Oro Shin and its licensors and is protected by intellectual property laws. These Terms do not transfer any of those rights to you beyond the right to use the Service as permitted here.
You keep ownership of the content and materials you provide or that the agent produces for you ("your content"). To operate the Service for you, you grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit and display your content, and to send it to the connected platforms and sub-processors needed to carry out your instructions. This licence exists only so that we can provide the Service and lasts only as long as we need it for that purpose.
11. AI-generated output
The Service produces output using artificial intelligence. AI-generated output is generated automatically and can be wrong, incomplete, or unsuitable for a given situation. You are responsible for reviewing what the agent produces and for deciding what is published or sent on your behalf.
You configure how the agent behaves — the persona it adopts, its auto-reply rules, its blocklist, and its escalation rules — and approval gates are available for publishing actions. Oro does not make solely automated decisions that produce legal effects, or similarly significant effects, concerning your own end customers: you configure the agent, you can require approval, and you remain the decision-maker.
AI-generated output is not professional advice. It is not legal, medical, tax or financial advice, and you should not rely on it as a substitute for a qualified professional. You use AI-generated output at your own risk.
12. Third-party platforms and outages
The Service depends on third-party platforms and providers that we do not control. Those platforms have their own terms, and they may change their features, policies or interfaces, rate-limit access, or experience outages. Any of these can interrupt or limit the Service or a connected channel. We are not responsible for the availability, actions or decisions of third-party platforms, and a disruption on a platform is not a failure of the Service.
13. Availability and changes
We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may add, change, or remove features, and we may suspend or discontinue all or part of the Service. Where a change materially reduces the Service and it is within our control, we will give reasonable notice when we can.
14. Suspension and termination
You may stop using the Service at any time by disconnecting your channels and closing your account. We may suspend or terminate your access if you breach these Terms, if your use creates a security, legal or platform-compliance risk, or if we are required to do so. Where the circumstances allow, we will aim to give notice. When your account ends, your right to use the Service stops, and your data is handled as described in our Privacy Policy. Terms that by their nature should survive termination — including intellectual property, disclaimers, liability limits and indemnity — continue to apply.
15. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure or error-free, that AI-generated output will be accurate or fit for a particular purpose, or that any connected platform will remain available. Any warranties that cannot be excluded under applicable law continue to apply.
16. Limitation of liability
To the maximum extent permitted by law, Oro Shin and its operators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnity
You agree to defend, indemnify and hold harmless Oro Shin and its operators from and against any claims, damages, liabilities, losses and reasonable expenses that arise from your content, your use of the Service, your instructions to the agent, your use of a connected platform, or your breach of these Terms or of a third-party platform's terms.
18. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Oro Shin is established, without regard to its conflict-of-laws rules. We and you will first try to resolve any dispute informally by contacting each other. A specific court or forum for disputes will be named here once Oro Shin's incorporation details are published; until then, we do not state a particular country or venue rather than name one that has not been settled.
If you are a consumer resident in the EEA or the United Kingdom, nothing in this section deprives you of the protection of the mandatory consumer-protection rules of the country where you live, and you may bring proceedings in the courts of that country.

19. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will update the date at the top of this page and, where appropriate, notify you in the app or by email. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, please stop using the Service.
